These Terms govern your access to, usage of all content, Products and Services available at the Vista Computational Technology, LLC website (the "Service") operated by Vista Computational Technology, LLC ("us", "we", or "our").
Your access to our services is subject to your acceptance, without modification, of all of the terms and conditions contained herein and all other operating rules and policies published and that may be published from time to time by us.
Please read the Agreement carefully before accessing or using our Services. By accessing or using any part of our Services, you agree to be bound by these Terms. If you do not agree to any part of the terms of the Agreement, then you may not access or use our Services.
Description of Service
Vista Computational Technology, LLC provides computational technology and software services, including but not limited to custom software development, data and analytics, infrastructure and DevOps, and integration and API services ("Services"). All services are detailed in a separate Statement of Work (SOW) or client agreement, which will outline specific deliverables, timelines, and fees.
Payment Terms
Fees for Services are due as specified in the client agreement. Services are typically billed on a recurring monthly basis and are payable in advance. Late payments may result in suspension of services and/or late fees. All fees paid are non-refundable.
Client Obligations
The client agrees to provide timely access to necessary resources, including but not limited to systems, APIs, data, and technical specifications. Delays in providing these resources may impact project timelines and results. The client is responsible for the accuracy and legality of all provided materials.
Intellectual Property
Upon full payment, the client shall own the specific deliverables created by Vista Computational Technology, LLC as outlined in the SOW. However, Vista Computational Technology, LLC retains the right to use the work for promotional purposes and retains ownership of all pre-existing materials, proprietary tools, software, and methodologies used in the provision of services.
Confidentiality
Both parties agree to keep confidential all non-public information obtained during the course of the service agreement. This includes business strategies, financial data, technical specifications, and project data. This obligation extends beyond the termination of the agreement.
Termination
Either party may terminate the agreement with 30 days written notice. We may terminate or suspend your access to all or any part of our Services at any time, with or without cause, with or without notice, effective immediately, for reasons including but not limited to a breach of these terms.
Disclaimer of Warranties
Our Services are provided "AS IS." and "AS AVAILABLE". Vista Computational Technology, LLC and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability and fitness for a particular purpose. While we strive to deliver excellent results, we do not guarantee specific outcomes such as performance metrics, uptime, or business results, as these are subject to factors beyond our control.
Limitation of Liability
In no event will Vista Computational Technology, LLC, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement for substitute products or services; or (iii) for interruption of use or loss or corruption of data.
Changes
Vista Computational Technology, LLC reserves the right, at our sole discretion, to modify or replace these Terms at any time. If we make material changes, we will provide at least 30 days notice before the changes take effect.
